Terms of Use
The terms that govern access to and use of the Ppay website, platform, products, services, and institutional workflows.
1. Acceptance of these Terms
These Terms of Use ("Terms") govern access to and use of the Ppay website, platform, workspace, products, services, content, tools, and related communications (collectively, the "Services").
By accessing or using the Services, you agree to these Terms on behalf of yourself and, where applicable, the organisation you represent. If you do not agree to these Terms, you must not access or use the Services.
2. About Ppay
Ppay is a product of MeroFin Ltd. Ppay is designed to support secure, connected payment-access and institutional workflow services for eligible users, organisations, partners, and service providers.
Service features, availability, eligibility, onboarding requirements, partner connectivity, geographic coverage, and operational scope may vary and remain subject to applicable requirements, approvals, agreements, technical readiness, and partner availability.
3. Eligibility and authority
You may use the Services only if you are legally permitted to do so, provide accurate and complete information, comply with these Terms, and have authority to act for any organisation you represent.
- You must use the Services only for lawful, authorised, and legitimate purposes.
- You must provide accurate, current, and complete information when requested.
- You must have authority to represent, bind, or act for your organisation where you use Ppay for organisational purposes.
- You must comply with applicable laws, regulations, internal organisational policies, and service-specific requirements.
- We may request information necessary to verify identity, authority, eligibility, compliance status, or organisational relationships.
4. Accounts and security
You are responsible for protecting your credentials, authentication methods, devices, and access to the Services. You must promptly notify Ppay if you suspect unauthorised access, compromised credentials, or a security incident.
- Do not share passwords, authentication codes, or access credentials.
- Do not impersonate another person or use another user's account without authorisation.
- Keep account and organisational information accurate and current.
- Review activity associated with your account or organisation and report suspicious activity promptly.
- Use reasonable security measures on devices used to access Ppay.
5. Organisation administration and permissions
Organisations may designate authorised administrators to manage users, roles, permissions, programmes, beneficiaries, approval workflows, and workspace settings.
Organisation administrators are responsible for ensuring that permissions reflect valid business responsibilities. Ppay may rely on instructions and permissions issued through authorised organisational accounts unless we have reason to believe they are unauthorised, unlawful, or unsafe.
6. Service availability and changes
We work to maintain reliable Services, but we do not guarantee uninterrupted, error-free, secure, or always-available access. Services may be changed, limited, suspended, or unavailable for maintenance, upgrades, security, legal requirements, partner dependencies, technical events, or other operational reasons.
We may introduce, modify, limit, or withdraw features in accordance with applicable requirements and our operational needs.
7. Instructions, workflows, and approvals
Where Ppay makes workflow, instruction, approval, reconciliation, reporting, or partner-connected features available, users are responsible for ensuring that information and instructions are accurate, complete, authorised, and compliant.
Ppay may reject, delay, suspend, or request additional information about an instruction where necessary for security, compliance, risk management, technical validation, partner requirements, or applicable law.
A displayed status, workflow item, record, or notification does not itself guarantee execution, acceptance, settlement, delivery, or finality unless confirmed through the applicable authorised process and service terms.
8. Prohibited conduct
You must not use the Services in a way that is unlawful, fraudulent, deceptive, harmful, unauthorised, or disruptive.
- Submit false, misleading, incomplete, or unauthorised information.
- Attempt to bypass authentication, permissions, monitoring, rate limits, or security controls.
- Interfere with the Platform, networks, systems, users, providers, or partners.
- Use malware, malicious code, harmful files, or unauthorised automated tools.
- Reverse engineer, decompile, scrape, crawl, copy, or reproduce the Services except where permitted by law or written authorisation.
- Infringe intellectual-property, privacy, confidentiality, or other rights.
- Use Ppay in a manner that could create security, legal, operational, or reputational risk.
9. Intellectual property
Ppay, MeroFin, related names, logos, designs, software, content, documentation, trademarks, and other materials are owned by or licensed to MeroFin Ltd. and are protected by applicable law.
Subject to these Terms, you receive a limited, non-exclusive, non-transferable, revocable right to use the Services for their intended purpose. No ownership rights are transferred to you.
10. Third-party services and partners
The Services may include or depend on third-party services, providers, networks, telecommunications operators, financial institutions, payment-service providers, identity-verification providers, or other partners.
Those third parties may have their own terms, privacy notices, technical requirements, availability conditions, fees, and compliance obligations. MeroFin is not responsible for third-party services except where required by applicable law or expressly agreed in writing.
11. Suspension and termination
We may suspend, restrict, or terminate access where we reasonably believe that you have breached these Terms, present a security or fraud risk, submitted unauthorised information, violated applicable requirements, or where continued access could expose Ppay, MeroFin, users, partners, or the public to harm.
We may retain information where necessary for legal, security, audit, dispute-resolution, or compliance purposes.
12. Disclaimers and limitation of liability
The Services are provided on an "as available" basis, subject to applicable law. To the fullest extent permitted by law, MeroFin disclaims warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation.
To the fullest extent permitted by applicable law, MeroFin, Ppay, their affiliates, personnel, suppliers, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, business interruption, reputational loss, or loss resulting from unauthorised access, third-party services, user error, network failure, or events outside reasonable control.
Nothing in these Terms excludes or limits rights or liabilities that cannot lawfully be excluded or limited.
13. Changes to these Terms
We may update these Terms from time to time to reflect changes in law, regulation, technology, service operations, or business practices. Updated Terms will be posted on this page with a revised Last updated date.
Your continued use of the Services after updated Terms take effect means that you accept them, except where additional notice or consent is required by applicable law.
14. Governing law and disputes
These Terms are governed by the laws applicable to MeroFin Ltd. and Ppay, subject to mandatory legal requirements and any written agreement that specifically governs a relevant service relationship.
Before commencing formal proceedings, users should first contact Ppay Support so that concerns can be assessed and, where possible, resolved promptly.
